Definitions

• "Platform" — The Cyphertree web application, APIs, and related services at cyphertree.com
• "Client" — A European company using Cyphertree's EOR services to hire employees in India
• "Employee" — An individual employed in India through Cyphertree's EOR arrangement
• "Applicant" — An individual applying for a position through the platform's ATS module
• "User" — Any individual accessing the platform (Client, Employee, Applicant, or Admin)
• "Services" — Employer of Record services including payroll, compliance, recruitment, employee management, electronic signatures, and performance management

Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements. If acting on behalf of a company, you represent that you have authority to bind that entity.

Account Registration

• You may register using email/password or Google OAuth sign-in
• You are responsible for maintaining the confidentiality of your credentials
• You must provide accurate and complete information
• You must notify us immediately of any unauthorised access
• One account per person — sharing is not permitted

Acceptable Use

You agree NOT to:

• Use the platform for any unlawful purpose
• Upload false, misleading, or fraudulent information
• Attempt to gain unauthorised access to other users' data or systems
• Interfere with or disrupt platform infrastructure or security
• Use the platform to discriminate against applicants on prohibited grounds
• Scrape, crawl, or automated-harvest data from the platform
• Reverse-engineer, decompile, or disassemble any part of the platform
• Transmit malware, viruses, or harmful code
• Resell, sublicense, or redistribute platform access

EOR Services

• Cyphertree acts as the legal employer in India for compliance purposes
• Clients retain day-to-day management and direction of employee work
• Cyphertree processes payroll, TDS, PF, ESI, and statutory compliance on behalf of the Client
• Employment terms are governed by applicable Indian labour law
• Clients must provide accurate compensation and benefits information

Recruitment / ATS

• Clients must ensure job postings comply with anti-discrimination laws
• AI-powered ranking assists human decision-making — it does not make autonomous hiring decisions
• Applicant data is processed per our Privacy Policy and Applicant Privacy Notice
• Clients must not use applicant data beyond the specific recruitment process

Electronic Signatures

Our e-signature system complies with the Indian IT Act, 2000 and EU eIDAS Regulation.

• Electronic signatures are legally equivalent to handwritten signatures for supported document types
• Signed documents include RFC-3161 timestamps for non-repudiation
• You are responsible for ensuring signatories have authority to execute documents

Payment Terms

• EOR services billed at the agreed per-employee monthly rate
• Payment due within 30 days of invoice unless otherwise agreed
• Late payments may incur interest at 1.5% per month or the maximum legal rate
• We may suspend services for overdue accounts after 15 days' notice
• All fees exclusive of applicable taxes

Intellectual Property

All platform content, software, design, trademarks, and documentation are the property of Cyphertree Technologies or its licensors. Data you upload remains your property — we claim no ownership over your data.

Data Protection

Your use is subject to our Privacy Policy, Cookie Policy, and (for applicants) Applicant Privacy Notice.

Service Availability

We target 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime from force majeure, third-party outages, or internet disruptions.

Limitation of Liability

Note: To the maximum extent permitted by law, Cyphertree's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

Nothing limits liability for: (a) death or personal injury from negligence, (b) fraud, or (c) liability that cannot be legally excluded.

Indemnification

You agree to indemnify Cyphertree Technologies from claims arising from: (a) your violation of these Terms, (b) violation of law, (c) inaccurate information you provide, or (d) platform misuse.

Termination

• Terminate your account at any time by emailing support@cyphertree.com
• We may suspend or terminate accounts for Terms violations with reasonable notice
• Upon termination, data handled per our Privacy Policy and retention schedule
• EOR service termination follows your service agreement notice period
• IP, liability, and indemnification provisions survive termination

Governing Law & Disputes

These Terms are governed by Indian law. EU users retain mandatory consumer protections of their country of residence. Disputes resolved through good-faith negotiation first, then arbitration in Pune, Maharashtra under the Indian Arbitration and Conciliation Act, 1996.

EU users may use the EU Online Dispute Resolution platform.

Modifications

Material changes notified 14 days in advance. Continued use constitutes acceptance. If you disagree, discontinue use and request account deletion.

Severability

If any provision is invalid, remaining provisions continue in full force.
